1. Scope of Services

Chariot provides branding, marketing, creative design, website development, photography, videography, packaging, and related digital marketing services to jewelry businesses and associated industries.

All projects, deliverables, and engagements are subject to written proposals, quotations, or agreements approved by both parties before commencement. Any estimates, timelines, or pricing discussed verbally are indicative only until confirmed in writing. Revisions, additional work, or changes outside the approved scope may incur additional fees and extended timelines.

2. Intellectual Property Rights

All creative materials, strategies, concepts, designs, copy, graphics, videos, or any intellectual property created by Chariot remain the property of Chariot until full payment is received.

Upon final payment, ownership and usage rights are transferred to the client as specified in the project agreement. Chariot retains the right to display completed work, including visuals, campaigns, and brand identities, in its professional portfolio and marketing materials unless expressly prohibited in writing by the client.

All content on this Website, including text, design, code, and images, is owned by Chariot and protected under applicable copyright and intellectual property laws. Reproduction or redistribution without written permission is strictly prohibited.

3. Client Responsibilities

Clients are responsible for providing timely feedback, content, approvals, and all necessary materials for project execution. Delays in feedback or information submission may affect project timelines and deliverables. Chariot is not liable for delays resulting from client-side inaction, third-party delays, or unforeseen technical issues.

Clients must ensure that any materials, logos, or assets provided to Chariot do not infringe upon the intellectual property rights of third parties. Chariot will not be held liable for any copyright or trademark violations arising from client-provided materials.

4. Payments, Fees & Refunds

Payment terms are defined in each individual project proposal or contract. A non-refundable advance or retainer may be required before work begins. Once project work has commenced, refunds are not applicable except in exceptional circumstances, determined at Chariot's sole discretion. Final deliverables will be released only after full payment has been received. All payments must be made in the currency stated in the agreement (INR, USD, etc.) and within the payment window specified. Any applicable taxes, transaction fees, or currency conversion costs are the responsibility of the client.

5. Confidentiality

Both parties agree to maintain strict confidentiality of all project-related information, including strategies, pricing, and materials. Neither party shall disclose confidential information to any third party without prior written consent, unless required by law. All confidential materials shared by either party will remain the property of the originating party.

6. Use of Website

By using our Website, you agree to use it only for lawful purposes. You must not attempt to damage, disable, hack, or interfere with the Website's functionality or security. Chariot reserves the right to suspend or restrict access to the Website at its discretion.

7. Third-Party Tools & Integrations

Some Services may involve integration with third-party tools (e.g., hosting platforms, analytics, social media channels, ad managers, etc.). Chariot is not responsible for technical failures, downtime, or changes in third-party policies beyond our control.

Use of such third-party services is subject to their respective terms and conditions.

8. International Clients & Jurisdiction

Chariot operates from India and serves clients globally, including the United States and other regions. All contracts are executed under Indian jurisdiction unless otherwise agreed in writing.

Payments from international clients must comply with applicable Indian and international trade, tax, and banking regulations. In case of disputes, the courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction.

9. Limitation of Liability

Chariot shall not be held liable for any indirect, incidental, or consequential damages arising out of:

  • • the use of our Website or Services,
  • • delays in project timelines,
  • • third-party system failures, or
  • • loss of revenue, goodwill, or data.

While we strive for accuracy and quality, all deliverables are provided "as-is," and no warranties (express or implied) are made regarding outcomes such as traffic increase, sales improvement, or engagement metrics.

10. Portfolio Rights

Unless restricted by a written confidentiality agreement, Chariot reserves the right to feature completed work in portfolios, case studies, presentations, and social media to showcase expertise.

11. Termination

Either party may terminate a project or agreement with written notice, as specified in the contract. In case of termination, the client is responsible for all work completed up to the termination date. Chariot may suspend or terminate services immediately for non-payment, breach of terms, or misuse of intellectual property.

12. Amendments to Terms

Chariot may update these Terms periodically to reflect changes in operations, services, or legal requirements. The latest version will always be available on this page, and continued use of our Website or Services constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of India. For international clients, compliance with local laws is the responsibility of the client. Any disputes will be settled exclusively in the courts of Mumbai, Maharashtra.
